FINE ART REPRESENTATION · STUDIO54 FINE ART
This Artist Representation Agreement (“Agreement”) is entered into between OM OceanMedia Ltd, Oum Charam, Pelagos Court, Office 01, 6027 Larnaca, Cyprus (VAT No.: CY60310732O — ends with the letter O, not a zero), operating under the brand name Studio54 Art (“Studio54 Art”), and the Artist — the holder of this Studio54 account, whose name, address, country, email and (if applicable) VAT number are those recorded in the account.
01 · Purpose
Studio54 Art represents selected artists through its gallery activities, presenting their works on Artnet and promoting them through the marketing and promotional channels operated by Studio54 Art.
This Agreement covers every type of artwork the Artist offers through Studio54 Art, whether sold as a fine-art reproduction or edition produced from the Artist’s digital master files, or as a physical original work (a unique, one-of-one piece such as a painting, drawing, photograph, print, sculpture or mixed-media work). Where a provision applies only to original physical works, this is stated expressly; the additional rules for originals are set out in §11.
Artnet serves solely as a presentation and visibility surface for the works. The sale itself — including pricing, customer handling, contracting, production, framing, fulfillment, payment collection and payout — is concluded, processed and managed entirely by Studio54 Art. Artnet is neither the seller nor a contracting or payment party for sales.
The purpose of this Agreement is to define the terms under which Studio54 Art presents, represents and promotes the Artist’s work and handles its sale. Studio54 Art does not guarantee any specific level of exposure, inquiries, sales, revenue or commercial success.
02 · Admission to the program
The Artist has successfully completed Studio54 Art’s application process and has been accepted into the Artist Representation Program. Studio54 Art reserves the right to determine which submitted artworks will be presented on Artnet and offered for sale by Studio54 Art. Acceptance of an Artist does not create any obligation to present or sell every submitted artwork.
03 · Artwork submission
Following acceptance into the program, the Artist shall provide high-resolution digital master files suitable for professional fine art printing and framing. The Artist may have a maximum of thirty (30) active artworks represented by Studio54 Art at any given time. The Artist may request up to four (4) portfolio updates per calendar year; during each update, artworks may be added, removed or replaced. Additional updates may be granted at the sole discretion of Studio54 Art.
When submitting an artwork, the Artist shall correctly classify it as either a reproduction/edition or a physical original work. For each physical original work, the Artist shall additionally register accurate physical attributes — medium, exact dimensions, weight, year of creation, signature status, edition status (unique or numbered edition), and the work’s current physical location (country) — and shall provide the proof of existence and authenticity described in §11 upon Studio54 Art’s request (typically following a collector enquiry or before a sale). The Artist warrants that an original listed as a unique work has not been, and will not be, sold elsewhere while represented by Studio54 Art.
04 · Rights granted
The Artist grants Studio54 Art a non-exclusive, worldwide right for the duration of this Agreement to:
- display the artworks;
- reproduce the artworks for promotional purposes;
- present and publish the artworks on Artnet as a presentation surface;
- publish the artworks on studio54art.com;
- use the artworks in newsletters, advertising, social media and marketing materials;
- offer, sell and conclude sales of the artworks to customers in its own name;
- arrange production, printing, framing and fulfillment of sold artworks;
- offer, sell and conclude the sale of physical original works to customers in its own name on a consignment basis, and arrange their authentication, handling, packaging, insurance and fulfillment.
For a physical original work, the Artist retains ownership of the work until it is sold. Upon a completed sale, title passes from the Artist to Studio54 Art and onward to the buyer at the moment Studio54 Art concludes the sale, so that Studio54 Art sells as owner in its own name. The Artist shall not withdraw, encumber or separately sell an original while it is listed and being marketed by Studio54 Art.
All copyrights remain the property of the Artist. The sale of an original physical object does not transfer any copyright or reproduction rights to the buyer unless separately agreed in writing.
05 · Artist warranties
The Artist represents and warrants that:
- the Artist owns all copyrights and rights necessary to market, print and sell the submitted artworks;
- the artworks do not infringe any third-party rights;
- all information provided by the Artist is accurate and complete;
- the artworks do not contain pornographic, sexually explicit, political, extremist, discriminatory, hateful, violent or otherwise unlawful content;
- the artworks do not violate any applicable laws or regulations.
The Artist shall indemnify and hold harmless Studio54 Art and OM OceanMedia Ltd from any third-party claims arising from a breach of these warranties.
06 · Representation & listing fees
The Artist may choose one of the following representation plans: Monthly Plan — EUR 50 / month or Annual Plan — EUR 500 / year, charged automatically to the Artist’s registered credit card or via SEPA direct debit through Studio54 Art’s authorized payment provider.
Commencement of fees. Membership fees commence when the first of the Artist’s works is published on Artnet by Studio54 Art. Until the Artist’s first work goes live on Artnet, no membership fee is due, and the Artist may prepare and submit works free of charge. The Artist’s chosen plan and billing period begin on that first-publication date.
All fees are exclusive of VAT and any other taxes that may be applicable under law. VAT or similar indirect taxes shall be charged where legally required.
In the event of a failed payment, Studio54 Art shall notify the Artist and grant a cure period of seven (7) calendar days. If payment is not received within this period, Studio54 Art may suspend the Artist’s listings. If the outstanding balance remains unpaid for thirty (30) calendar days after the original due date, Studio54 Art may terminate this Agreement with immediate effect.
Upon acceptance of this Agreement, the Artist may access the Studio54 portal and prepare and submit artworks for review. The active listing, representation, promotion and sale of works on Artnet are subject to a current membership under this §06; Studio54 Art may withhold or suspend listing where no current membership is in place.
07 · Term and termination
This Agreement has a minimum term of twelve (12) months. During the initial twelve-month term, ordinary termination is excluded. This minimum term applies regardless of the payment plan selected; artists choosing the Monthly Representation Plan remain subject to the twelve (12) month minimum commitment and shall be charged for twelve (12) monthly fees during this period. The twelve-month minimum term begins on the date the Artist’s first work is published on Artnet — the same date on which membership fees commence (see §06). Account access, artwork preparation and submission before that date do not start the term and incur no fee.
After the initial twelve-month term, this Agreement shall continue indefinitely and may be terminated by either party with thirty (30) days’ written notice effective at the end of a calendar month. Termination does not affect any payment obligations accrued before the effective termination date.
Upon termination, Studio54 Art shall remove the Artist’s listings from Artnet and its other channels within thirty (30) days of the effective termination date. High-resolution master files provided by the Artist shall be deleted within sixty (60) days of termination. Studio54 Art shall retain records solely as required by applicable law.
08 · Pricing
The Artist may indicate a preferred minimum payout for individual artworks. As the seller, Studio54 Art determines the retail sale prices in consultation with the Artist, taking into account production costs, framing costs, shipping costs, edition size, market positioning, comparable works and artists, and commercial viability. Studio54 Art reserves the right to decline the presentation and sale of artworks for which no agreement regarding pricing can be reached.
For a physical original work, the Artist may set a preferred minimum payout for that specific piece. Studio54 Art determines the retail price in consultation with the Artist, taking into account the medium, size, the Artist’s market and comparable sales, condition, provenance and the costs of authentication, insurance, packaging and shipping. Studio54 Art will not conclude a sale of an original below the agreed minimum payout without the Artist’s consent.
09 · Sales and revenue share
All sales are concluded and processed by Studio54 Art in its own name; Artnet is used only to present and promote the works and is not the seller or payment party. Studio54 Art manages pricing, customer handling, printing, framing, packaging, fulfillment, shipping, payment collection and customer service. For each completed sale, the Artist shall receive fifty percent (50%) of the Net Sales Proceeds.
Net Sales Proceeds (reproductions / editions) = Net Sales Price − Printing Costs − Framing Costs − Packaging Costs − Shipping Costs − Payment Processing Fees − Platform Fees (if applicable). Split: 50% Artist · 50% Studio54.
Net Sales Proceeds (physical original works) = Net Sales Price − Authentication & Handling Costs − Insurance Costs − Packaging Costs − Shipping Costs (including, where applicable, inbound shipment of the original to Studio54 Art) − Payment Processing Fees − Platform Fees (if applicable). No printing or framing costs are deducted for originals unless framing is expressly requested. Split: 50% Artist · 50% Studio54.
10 · Artist payouts
Studio54 Art shall provide sales statements to the Artist. Artist payments shall generally be made within thirty (30) days after Studio54 Art has received cleared funds from the purchaser.
Payouts are subject to a minimum threshold of EUR 100. If the net sales proceeds due to the Artist in a given month are below EUR 100, the amount shall be carried forward to the following payment period until the threshold is reached.
The Artist is solely responsible for all taxes arising from payments received from Studio54 Art. Studio54 Art does not withhold any taxes or levies from artist payments. Artists located outside the European Union are solely responsible for compliance with the tax laws of their country of residence.
Payments shall be made by bank transfer (SEPA or SWIFT), Wise, PayPal, or such other method as mutually agreed. The Artist’s payout details are provided and maintained in the Artist’s Studio54 account and may be updated at any time without amendment to this Agreement.
11 · Original physical works — verification, custody & authenticity
This section applies in addition to the foregoing provisions whenever the Artist offers a physical original work. Its purpose is to ensure that every original sold by Studio54 Art genuinely exists and matches its listing.
Proof of existence and authenticity. To list an original, the Artist registers its attributes under §03; no proof images are required at the moment of listing. If a collector enquires about the work through Artnet — and in any event before a sale is concluded — Studio54 Art may request verification, whereupon the Artist shall promptly provide: (i) high-resolution photographs of the front, the reverse/back, the signature, the edges, and a macro detail of the surface; and (ii) a dated proof-of-possession photograph or short video showing the work together with a one-time verification code issued by Studio54 Art. Studio54 Art may decline, suspend or remove any listing, and withhold any sale, where this evidence is not provided upon request, is inconsistent, or where the images appear elsewhere or cannot be attributed to the Artist.
Verification on sale. Once an original is sold, Studio54 Art may require the Artist to ship the work to Studio54 Art or to an authorized partner for physical inspection against the listing (medium, dimensions, signature, condition, and confirmation that it is an original and not a reproduction) before the work is forwarded to the buyer and before any payout is released. Studio54 Art may make such inspection mandatory for originals above a value threshold determined by Studio54 Art, and optional below it.
Custody, risk & insurance. The Artist bears risk of loss or damage to an original while it is in the Artist’s possession. Risk during any shipment arranged or instructed by Studio54 Art is covered by the transit insurance arranged under §08/§09; the Artist shall pack the work to professional fine-art standards as instructed.
Certificate of authenticity. Studio54 Art issues a certificate of authenticity for each original sold, which the Artist shall co-sign or confirm. The Artist warrants that the work is authentic, created by the Artist, correctly described, and free of any third-party ownership, lien or prior sale.
Payout hold. Notwithstanding §10, the payout for an original is released only after the work has passed verification (where required) and the buyer’s return/inspection period has expired without a justified complaint. If a delivered original does not match its listing, the sale may be cancelled, no payout is due, the Artist bears the resulting costs (including return shipping and any chargeback), and Studio54 Art may terminate this Agreement with immediate effect under §05.
No circumvention. Any buyer details disclosed to the Artist solely to enable shipment are confidential and provided only for that purpose. The Artist shall not contact the buyer to solicit, conclude or facilitate a sale outside Studio54 Art, nor enclose contact details or solicitation with the shipment, during the term of this Agreement and for twelve (12) months thereafter. Breach entitles Studio54 Art to the commission it would have earned on the circumvented sale, in addition to any other remedy.
12 · Content policy
Studio54 Art accepts artworks from all artistic styles and genres. The following categories are excluded: pornographic or sexually explicit content; political, electoral or propaganda-related content; extremist content; hate speech; discriminatory content; content promoting violence or illegal activities; content infringing third-party rights; content creating legal or reputational risk for Studio54 Art or its partners.
AI-generated and AI-assisted artworks are permitted provided that the Artist possesses all rights necessary for commercial use and sale.
13 · Liability
Studio54 Art shall only be liable for intentional misconduct or gross negligence to the extent permitted by law. Studio54 Art shall not be liable for lost profits, lost sales opportunities, indirect damages or consequential damages.
14 · Governing law
This Agreement shall be governed by the laws of the Republic of Cyprus. Any disputes arising out of or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts of Cyprus.
15 · Entire agreement
This Agreement constitutes the entire agreement between the parties and supersedes all prior discussions and understandings. Any amendments must be made in writing. If any provision of this Agreement is found invalid, the remaining provisions shall remain in full force and effect.
Acceptance. By ticking “I have read and agree to the Artist Representation Agreement” in the Studio54 portal, the Artist accepts this Agreement electronically. This electronic acceptance has the same legal effect as a handwritten signature and is recorded with a timestamp against the Artist’s account.
